These Terms & Conditions ("Terms") govern your use of the Dispatch software-as-a-service application ("Service") provided by Vpro Electric LLC ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

Dispatch is a crew scheduling, job dispatch, and time-tracking application for electrical and trades contractors. You must have authority to bind your organization, or be of legal age, to accept these Terms.

You must not misuse the Service. In particular, you must not:

You must provide accurate information and keep your account credentials confidential. You are responsible for activity that occurs under your account.

4. Intellectual Property

The Service, including all software, designs, documentation, and branding, is owned by Vpro Electric LLC and protected by applicable law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan. You retain ownership of content you upload and grant us a limited license to host and process it solely to provide the Service.

5. Payment, Subscriptions, and Billing

Subscriptions renew automatically until cancelled. Cancellations take effect at the end of the current billing period; plan upgrades take effect immediately. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. 6. Free Trial

New accounts may begin with a 14-day free trial. A valid payment method is required at signup. If the trial is not cancelled before it ends, the account converts automatically to the selected paid plan.

7. Service Availability

We work to keep the Service available, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are disclaimed.

8. Suspension and Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. On termination, your right to use the Service ends; we will provide a reasonable opportunity to export your data before deletion.

9. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service will not exceed the fees you paid to us in the 12 months preceding the claim. We will not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation would be unlawful.

10. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. Governing Law

These Terms are governed by the laws of the State in which Vpro Electric LLC is registered, without regard to conflict-of-law principles. Disputes will be resolved in the competent courts of that jurisdiction.

12. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email.
